1. Who we are and what you are agreeing to
Spawnly is a service and a Roblox Studio plugin made by Optovo, LLC ("Optovo", "we", "us"), a limited liability company in California, United States. These Terms of Service (the "Terms") are a contract between you and Optovo. They cover the website at spawnly.gg, the Spawnly plugin for Roblox Studio, the account and credit system, and everything we provide through them (together, "Spawnly" or the "service").
You accept these Terms when you sign in, connect a Studio, buy credits, or otherwise use Spawnly. If you do not agree, do not use Spawnly. The Privacy Policy explains what we do with information about you and is part of these Terms.
2. Who can use Spawnly
You must be at least 13 years old. If you are under 18, a parent or legal guardian must read these Terms and agree to them on your behalf, and by letting you use Spawnly they accept them. Spawnly is not for children under 13, and we delete accounts we learn belong to them.
You also need a Roblox account in good standing and a Discord account, because Spawnly signs you in with Discord and works inside Roblox Studio. You must follow Roblox's and Discord's own terms while using Spawnly. You may not use Spawnly if we have previously closed your account for breaking these Terms.
3. What Spawnly does, and what it does not promise
Spawnly is an AI assistant for Roblox Studio. You describe what you want in the panel; the service reads the place that is open in your Studio, plans, and then acts inside that place through the plugin: it writes and edits scripts, builds and moves objects, changes settings, runs the game in Studio, reads its output and makes further changes. Requests are carried out by large language models from third-party providers that you choose in the panel.
AI makes mistakes. The models can misunderstand you, write code that does not work, change or delete the wrong thing, or state something confidently that is false. You are responsible for reviewing everything Spawnly does in your place before you rely on it, publish it, or let players see it. Keep your own copies and backups. Studio's undo and Spawnly's revert help, but we do not promise that every change can be reversed.
Spawnly is offered as a beta. Features, models, prices and limits can change, and the service can be unavailable at times. We do not promise any particular result, quality, speed, uptime, or that any request will succeed.
4. Your account
You sign in with Discord. We create an account tied to your Discord id. You are responsible for everything done through your account and through the Studios you connect to it, including by anyone you let use your computer or your Discord account. Keep your Discord account secure. Tell us at help@spawnly.gg straight away if you think someone else is using your account.
One person, one account. Do not create accounts for others, share accounts, or use tricks to get more starter credits. We may merge, limit or close duplicate accounts.
5. Credits, prices and payments
Requests are paid for with credits. Each request spends credits based on the model you picked and how much work it had to do; the exact number is shown on each finished request and on your account page. Credits are a prepaid, limited licence to use the service. They have no cash value, cannot be transferred, sold or exchanged, and are not money, deposits or property.
How credits are spent. A request spends credits as it runs, for every call it makes to the model you chose, at that model's price plus our margin. They are spent whether the request succeeds, fails, is stopped by you, or produces something you did not want. The cost of a request cannot be known before it runs, because it depends on what the model decides to do with your place; the panel shows each model's price scale before you send, the credits used so far while it runs, and the total when it finishes. Stopping a request keeps the credits already used. We do not refund credits because a result was wrong, unwanted, incomplete, slower or dearer than you expected, because a model behaved badly, or because you sent a request by mistake or with the wrong model or settings. Each request has a spending cap we set (currently 200 credits) so a single request cannot run away. You choose the models and what you ask; cheaper models are there for questions and for trying things out, and you use the stronger ones at your own cost.
Starter credits are a free gift to let you try Spawnly. We can change how many new accounts get, and we can remove starter credits from accounts created to abuse them.
Buying credits. Prices are shown in US dollars on your account page and can change at any time; a change does not affect credits you already bought. Payments are processed by Stripe under Stripe's terms; we do not see or store your card number. You confirm that you are allowed to use the payment method and that you (or your parent or guardian) authorise the charge. Prices do not include taxes unless we say so; where tax applies, it is added at checkout.
Refunds. Because credits are delivered at once and requests spend them immediately, purchases are final and non-refundable, except where the law gives you a right we cannot exclude, or where we choose to refund at our discretion (for example when a fault on our side wasted your credits: tell us at help@spawnly.gg). If a purchase is refunded, reversed or charged back, the credits it bought are removed from your balance, which may go negative; we may suspend the account until it is settled. Credits do not expire while your account is open. They are forfeited if we close your account for breaking these Terms, and they are not paid out if you close your account or if we end the service; if we end the service, we will give reasonable notice so you can use them.
6. Your content
Your place, its scripts and objects, the messages you type, images and files you attach, and anything else you give to Spawnly are your content. You keep every right you have in it.
To do its job, Spawnly must read, copy, send and process your content: to our servers, and to the AI provider whose model you picked, which receives the parts of your place and your messages needed for the request. You give Optovo a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, display and modify your content, and to have our providers do the same, only as needed to provide, secure and improve the service and to comply with the law. We do not use your content to train AI models, and we only use providers whose terms for us do not allow them to train on it either.
You promise that you have the rights needed to give us this licence, and that your content does not break the law, Roblox's rules, or anyone else's rights.
7. What Spawnly makes for you
Scripts, objects, text, plans and other material Spawnly produces in response to your requests are output. To the extent we hold any rights in output, we assign them to you, and you may use output for any lawful purpose including in games you publish and monetise. Output is generated by AI and may be similar or identical to output produced for other people; we make no promise that it is original, accurate, complete, safe, free of third-party rights, or fit for any purpose. You are responsible for checking output before you use it and for how you use it.
8. Rules of use
You may not use Spawnly to:
- break the law, or Roblox's or Discord's rules, or help anyone else do so
- make cheats, exploits, backdoors, malware, scams, phishing, or anything designed to harm players, other developers, Roblox, or their systems
- make content that is sexual involving minors, that sexualises or endangers minors, or that harasses, threatens, or discriminates
- infringe copyrights, trademarks or other rights, including by copying other people's games or assets without permission
- get around credit limits, rate limits, safety measures, or the plugin's connection to your own account; probe, scan or attack our systems; or send automated traffic that is not the plugin doing its job
- reverse engineer, decompile or copy the service or the plugin except to the extent the law lets you do so regardless of this term; resell or sublicense the service; or build a competing service by extracting our prompts, tools or systematic outputs
- misrepresent who you are or who made something, or pass off Spawnly as your own service
We may look at how the service is used and at content that has been reported, to keep the service safe and working. We may remove content, refuse requests, limit or suspend accounts, and report unlawful activity where required.
9. Roblox and other services
Roblox. Spawnly is an independent product of Optovo and is not made, endorsed or supported by Roblox Corporation. Roblox, Roblox Studio and the Creator Store are Roblox's trademarks and services, governed by Roblox's own terms. Assets you find on the Creator Store belong to their creators and come with their own licences; Spawnly only points you to them or, in the full version of the plugin, inserts them the way Studio would.
AI providers. Requests are carried out by models from providers such as Anthropic, OpenAI, Google and DeepSeek, some reached through OpenRouter. Their models' behaviour is theirs, not ours, and their use of the data sent to them is governed by their terms and our agreements with them, as described in the Privacy Policy.
Discord handles sign-in and our community server. Stripe handles payments. These services have their own terms and privacy policies, which apply when you use them.
10. Our property and your feedback
Spawnly, the plugin, the website, our prompts, tools, designs, names and logos belong to Optovo and are protected by copyright, trademark and other laws. Apart from the rights we give you in these Terms, you get no rights in them. You may not use the Spawnly name or logo without our written permission.
If you send us feedback or ideas, you let us use them freely, without payment or credit to you, and without any duty to keep them confidential.
11. Changes to the service and to these terms
We can change, add, remove or stop parts of the service at any time, including models, features, prices and limits. We can change these Terms. When we make a change that matters, we will ask you to accept the new Terms the next time you sign in, or tell you by email or in the panel, at least 14 days before it takes effect where reasonably possible. If you keep using Spawnly after a change takes effect, you accept it. If you do not, stop using the service and, if you wish, ask us to close your account.
12. Ending your account
You can stop using Spawnly at any time and can ask us to close your account by writing to help@spawnly.gg. We can suspend or close your account, or refuse service, if you break these Terms, if the law requires it, if your account is used for fraud or abuse, or if we stop offering the service. Where reasonable, we will tell you why.
When your account is closed, your right to use the service ends and your remaining credits are treated as described in section 5. Sections that by their nature should survive (including 5 to 7 and 13 to 20) survive.
13. No warranty
Spawnly is provided "as is" and "as available". To the fullest extent the law allows, Optovo and its providers make no warranties of any kind, express or implied, including of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the service will be uninterrupted, error-free or secure, or that AI output will be correct or safe. Some jurisdictions do not allow some of these exclusions, so some may not apply to you.
14. Limits on our liability
To the fullest extent the law allows: (a) Optovo, its owners, staff and providers are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill, or the cost of substitute services, arising from or related to Spawnly or these Terms, however caused and under any theory, even if we were told they were possible; and (b) our total liability for all claims relating to Spawnly or these Terms is limited to the greater of one hundred US dollars (US$100) and the amount you paid us in the twelve months before the event giving rise to the claim.
In particular, we are not liable for credits spent on requests whatever their outcome (section 5), for changes made to your place by the service that you asked for or approved, for loss of unsaved or unbacked-up work, for the conduct of AI models, or for the actions of Roblox, Discord, Stripe or any other third party. These limits are a basis of the bargain between us; the service would not be offered on these terms without them. Some jurisdictions do not allow some of these limits, so some may not apply to you.
15. Your responsibility for claims
You will defend, indemnify and hold harmless Optovo, its owners, staff and providers from any claim, loss, liability, damage, cost and expense (including reasonable legal fees) arising from your content, your use of the service or of output, your games, or your breach of these Terms or of the law. We may take over the defence of any matter you must indemnify, and you will cooperate.
16. Disputes, arbitration and class action waiver
Please read this section carefully. It affects your rights.
Talk to us first. Before starting any formal dispute, write to help@spawnly.gg with your name, a description of the problem and what you want. We will try to resolve it with you informally within 30 days.
Binding arbitration. If we cannot, any dispute, claim or controversy between you and Optovo arising out of or relating to Spawnly or these Terms (including their formation, validity and scope, and including claims against our owners, staff or providers) will be resolved by binding individual arbitration, not in court, except as set out below. The Federal Arbitration Act governs this section. The arbitration will be run by JAMS under its rules for consumer disputes, before a single arbitrator, in the county where you live or by video or phone, or in Los Angeles County, California if you live outside the United States. The arbitrator applies these Terms and California law, can award the same relief a court could on an individual basis, and decides all questions about the arbitrability of a dispute except for the class action waiver, which only a court may decide. Where JAMS's rules require it for consumers, Optovo pays the arbitration fees beyond the first US$250 of your filing fee; each side pays its own lawyers unless the law or the arbitrator says otherwise.
Class action waiver. You and Optovo agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, collective or representative proceeding, and that the arbitrator may not consolidate more than one person's claims. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) proceeds in court, stayed until the arbitration of any remaining claims is complete.
Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court for an injunction or other urgent relief to protect intellectual property or stop unauthorised use of the service.
Opting out. You can reject this arbitration agreement by emailing help@spawnly.gg within 30 days of first accepting these Terms, with your Discord username and a clear statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.
Time limit. Any claim must be started within one year after it arose; otherwise it is permanently barred, where the law allows this limit.
17. Governing law
These Terms and any dispute between you and Optovo are governed by the laws of the State of California and applicable United States federal law, without regard to conflict-of-law rules. For anything that is not arbitrated, you and Optovo agree to the exclusive jurisdiction of the state and federal courts located in California, and waive any objection to venue there. If you live outside the United States, you may also have rights under your own consumer laws that these Terms do not take away.
18. Notice to California users
Under California Civil Code section 1789.3, California users are entitled to the following: Spawnly is provided by Optovo, LLC, California, United States, reachable at help@spawnly.gg. Complaints about the service or requests for further information may be sent to that address. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
19. Copyright complaints
We respect creators' rights and respond to notices under the Digital Millennium Copyright Act. If you believe content on Spawnly infringes your copyright, send a notice to help@spawnly.gg with: the work you own; the material you say infringes and where it is; your contact details; a statement that you believe in good faith the use is not authorised; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorised to act for the owner; and your physical or electronic signature. We may remove material, pass notices to the person who provided it, and close the accounts of repeat infringers.
20. The rest
- Whole agreement. These Terms and the Privacy Policy are the whole agreement between you and Optovo about Spawnly and replace any earlier terms.
- If a part fails. If any part of these Terms is found invalid or unenforceable, the rest stays in force and the failed part is replaced by a valid one as close as possible to the original intent, except as section 16 says about the class action waiver.
- No waiver. Not enforcing a term is not a waiver of it.
- Assignment. You may not transfer these Terms or your account. We may transfer them to a successor of our business with notice to you.
- Events beyond our control. We are not responsible for delays or failures caused by things outside our reasonable control, including outages at Roblox, Discord, Stripe, AI providers, hosting providers or the internet.
- Export and sanctions. You may not use Spawnly where United States export or sanctions laws forbid it.
- Notices. We may notify you through the panel, on the website, or by the Discord account or email you gave us. Notices to us go to help@spawnly.gg.
- Language. These Terms are written in English; translations are for convenience only.
